David Rogers is a partner with Bricker & Eckler LLP and is the chair of the Project Finance industry group. His practice emphasizes public finance, project finance, healthcare finance, structured finance, alternative and advanced energy finance, economic development, securities law, and public debt federal and state tax matters.
Representative Experience
Serves as bond, structuring, underwriter's, developer's or purchaser's counsel for various taxable and tax-exempt project financings, including infrastructure, economic development and facilities finance for shopping centers, stadiums, arenas and headquarter hotel facilities
Serves as bond, disclosure and underwriter's counsel for both tax-exempt and taxable bonds and bond programs, including energy, housing, IDB, hospitals, 501(c)(3), education and traditional issues
Serves as bond counsel for several Ohio port authorities and related taxable and tax-exempt economic development bond fund programs
Serves as transaction disclosure and special tax counsel for derivative, commodities swap, interest rate swap and swaption transactions
Serves as structuring, disclosure, underwriter’s and special tax counsel for structured finance and corporate finance transactions, including securitizations, secondary market transactions and governmental synthetic leases
Structuring and acting as one of the primary counsel for many unique taxable and tax-exempt structured finance transactions, including:
- First - S&P rated securitization of defaulted tax-exempt bonds
- First - Tax exempt pension refunding bonds in the U.S.
- Ohio's First - Energy (gas and electric) prepayment bonds
- Ohio's First - Bonds secured by lottery profits
- Ohio's First - Lease Purchase Financing for a school building in Ohio
- Ohio's First - COPs Financing of a governmental lease within a private building
- Ohio's First - Tax Increment revenue bond secured by special assessments
- Ohio's First - Floating rate notes/internet rate hedge/derivative refinancing of tax-exempt debt for political subdivisions
