Assisted in due diligence process and negotiation of a $60 million acquisition in the healthcare industry
Drafts and reviews various contracts (e.g., asset purchase agreements, stock purchase agreements, management agreements, employment agreements, and non-compete/non-solicitation agreements, etc.)
Assists closely held business entities during the entity selection and formation process by drafting and reviewing initial corporate governance documents, shareholder agreements, and close corporation agreements
