   Project Finance

The project finance market has grown to remarkable size in recent years. According to the Securities Industry and Financial Markets Association (SIFMA), there is at present in excess of $2.6 trillion in outstanding municipal debt, comprising obligations of approximately 50,000 issuers. In addition, more than $5.7 trillion of corporate debt and about $2.5 trillion in asset-based debt is currently outstanding. At Bricker & Eckler, our Project Finance Group has experience documenting and structuring financings in all these areas: municipal, corporate, and asset-backed securities.

Our attorneys regularly serve as counsel to investment bankers and other participants in a variety of structured finance matters, including public finance, corporate finance and project finance transactions, as well as workouts, bankruptcies, litigation and tax advice for a wide variety of investment banking and structured finance clients. We also provide advice on issues such as structuring transactions, the current market landscape, preparing for debt issuance, securitization and its alternatives, investor concerns, legal requirements, tax issues and the role of various deal participants.

The Project Finance Group has strong working relationships with local and national investment bankers, including underwriting and brokerage firms, finance companies, venture capitalists, commercial banks and insurance companies. We work closely with lenders and investment bankers to develop creative financing alternatives, whether for a corporate or municipal bond issue, starting a business, making an acquisition, developing real estate, acquiring capital equipment or generating additional operating funds.

Other structures can also be utilized to finance public infrastructure affiliated with new development. Tax increment financings (TIFs) and similar vehicles are becoming more commonplace, as are more complex structures, including cooperative arrangements among political subdivisions and public-private partnerships. We have worked on many of the biggest projects in the state, including the Polaris and Easton developments in Columbus and University Square in Cleveland. Our expertise can also help smaller communities and developers alike as they deal with these issues and structure their financing arrangements.
