   Investment Banking & Structured Finance

The Investment Banking & Structured Finance Group has strong working relationships with local and national investment bankers, including underwriting and brokerage firms, finance companies, venture capitalists, commercial banks, and insurance companies. The group routinely works closely with lenders in developing creative financing alternatives, whether for a taxable debt offering, financing a project, securitizing a revenue source, starting a business, making an acquisition, or generating additional operating funds. The firm has developed a number of novel asset securitization products, many of which are rated by Standard & Poor's and other rating agencies.

Our group routinely helps corporate clients prepare for accessing capital markets. We have experience in all types of financings, including commercial loans, private placements of both debt and equity, initial public offerings, and listing on interdealer quotation systems and admission to security exchanges. In addition, we frequently help find or link to resources that can find capital, including not only traditional commercial loans, private placements of both debt and equity, but also venture capital.

We have substantial experience in structuring, negotiating and consummating various types of sophisticated merger and acquisition transactions involving both publicly traded and privately held companies, including corporate stock acquisitions and divestitures, asset acquisitions and divestitures, and divestitures of subsidiaries and divisions by corporate owners. In addition, we are also experienced in structuring corporate reorganizations involving affiliated corporations. These transactions, although not involving negotiated mergers or acquisitions in the traditional sense, do require substantially similar skills and analysis in order to meet client needs.
