The Investment Banking & Structured Finance Group
represents investors in financing various project finance and real estate
projects. We handle sale and purchase contracts, site and easement acquisitions,
project financing negotiations and closings, including taxable and tax-exempt bond
structures, construction and architectural contracts, management contracts,
leasing arrangements, and title insurance.
We have served as lead counsel for Glimcher Realty Trust
in the negotiation of all documentation for the acquisition and construction
of a super regional shopping center involving investments in excess of
$350,000,000, including site purchase contracts, development agreements,
off-site improvement agreements with public entities, debt financing documents,
(including tax-exempt bonds backed by PILOTS, payments in lieu of taxes, and a
special assessment), management and leasing agreements and equity joint venture
agreements.
Other structures can also be utilized to finance public
infrastructure affiliated with new development. Tax increment financings
(TIFs) and similar vehicles are becoming more commonplace, as are more complex
structures, including cooperative arrangements among political subdivisions and
public-private partnerships. We have worked on many of the biggest projects in
the state, including the Polaris and Easton developments in Columbus and
University Square in Cleveland. Our expertise can also help smaller communities
and developers alike as they deal with these issues and structure their financing
arrangements.
In the area of leasing, we represent both tenants and
landlords in leasing arrangements for office space, warehouses, shopping
centers, and other retail and industrial complexes. We prepare and negotiate
customized leases, as well as draft form leases for residential, retail, office,
and industrial landlords.
We have completed several complex golf course financing
projects, including a new 18-hole design with a related housing development,
the financing of an upscale daily fee course designed by a PGA tour professional,
and several tax-exempt COP transactions for municipal golf courses.
