This generation of Bricker transaction lawyers has served as lead counsel on several major acquisition transactions involving purchase prices of over $100 million. These high-dollar acquisitions frequently involve publicly held companies on one or both sides and often require focused attention to issues such as:

  • Compliance by the acquired company with Sarbanes-Oxley requirements to assure that the acquisition will not impair the ability to give required SOX certifications.

  • Hart-Scott-Rodino approvals necessitated where there is a potential that the size of the transactions will result in an anti-competitive effect.

  • Protection of the value of stock in the acquiror received by a selling party through negotiation of piggyback registration rights and tagalong rights.

High Dollar Acquisition

The Problem
Longtime business partners wish to sell their manufacturing company worth over $100 million following 25 years of continuous ownership, but must identify an investment banker and get adequate legal assistance to accomplish an auction to the highest bidder.

The Solution
Bricker lawyers work with longtime company counsel to screen investment bankers and select the right investment banker to identify potential buyers, prepare the documents needed to auction the company, assist in evaluating bids from potential buyers, and ultimately close the transaction resulting in proceeds to the business owners well in excess of $100 million.
