The acquisition or sale of a manufacturing business presents unique challenges, often involving environmental, labor and products liability concerns. Case Study
Manufacturing

The Problem
The seller was a major industry supplier of a product also manufactured by the acquiror. FTC correspondence indicated an intention to sink the merger.

The Solution
Intense negotiations with regulatory authorities to narrow the scope of the overlaps deemed to be of regulatory concern. Working with management, the few remaining items of concern were segregated into a new operating entity with its own assets, staffing and intellectual property rights. The new entity was then spun off to a third party, and the major acquisition closed
