Technology

Going back to formation of Industrial Nucleonics in the 1960s, Bricker & Eckler has a proud history of association with Ohio technology companies. Our Technology and Intellectual Property Industry Group consults on M&A issues of critical importance to companies in this industry, including:

  • Pre-acquisition planning focusing on safeguarding technology, know-how and other intellectual property assets to be exposed in the acquisition process.

  • Assisting in the labor-intensive and detail-specific due diligence process designed to identify, assess and remedy problems with the technology being acquired.

  • Evaluation of licensing, joint venturing, and partnering alternatives to business acquisitions or dispositions.

Case Study
Technology & Intellectual Property

The Problem
A company with lucrative software technology was positioning itself to be purchased by a larger competitor. However, the company’s software was dependent on certain open source code that would have materially diminished the value of the company’s technology.

The Solution
After identifying the open source code, it was removed from the company’s software technology. The company used a custom programmer on a work-made-for-hire basis to engineer replacement code, which was integrated into the company’s software. The solution enabled the company’s software technology to remain entirely proprietary and as a result improved its commercial value.
