Experienced in investigations of defects in internal controls and disclosure controls, violations of law, breaches of fiduciary duties and illegal activities
Experienced in public reporting and disclosure responsibilities of boards and executives
Experienced in Director and Officer insurance, indemnification and other protection against board and executive liability
Provides counsel to emerging businesses by assisting with organizational structure, financing and capital raising efforts and issues involving intellectual property, licensing, employment and real estate matters
Represents companies in mergers, acquisitions, and strategic alliances
Served as litigation counsel for emerging businesses to Fortune 500 companies in matters involving commercial disputes, securities, the Civil Racketeer Influenced and Corrupt Organizations Act ("RICO"), insurance agreements and the Clean Air Act
Served as counsel to the world's largest beer manufacturer in matters involving Ohio Alcohol Beverage Franchise Act
Handled technology transactions for one of the nation's leading financial institutions, including telecommunication outsourcing agreements, software license contracts, service agreements and marketing agreements
