Regulatory Experience and Representations
Our recent regulatory experiences include:
Managing the Ohio regulatory process for a large national insurance organization purchasing an Ohio insurance group. Approval was received for a timely close of the transaction.
Serving as co-counsel with national firm to handle the regulatory process involving the purchase of an Ohio insurance group.
Managing a multi-state admission project for a regional insurance company that involved the preparation of the UCAA expansion application and various other state required information.
Negotiating memorandums of understanding (MOU) with the Ohio Department of Insurance after a threat of suspension or revocation of a foreign insurer's certificate of authority based upon financial condition. The negotiated MOU preserved limited access to Ohio markets and prevented formal action to suspend or revoke the insurer's license.
Assisting insurers with preparing and filing documentation for Form A exemptions.
Advising marketing organizations of insurer and of a non-insurance organization regarding the sale of insurance products and the sale of insurance products with non-insurance products on a country wide basis. Issues involved included the logistics of agent/producer licensing, remuneration of distribution channels, and adverse regulatory requirements with sales program. Products involved both warranty and warranty-like, non-traditional products that may or may not be regulated by state insurance regulators.
Assisting several large Ohio-based insurance companies with establishing and managing political action committees (PAC’s) and compliance with campaign finance laws.
