Health system and physician-owned hospital affiliation
Prepared several options for a health system and physician-owned surgical hospital to affiliate in a secondary market. Provided regulatory advice, including an analysis of potential Stark Law and Anti-Kickback Statute compliance issues, as well as antitrust and federal tax law advice.
Skilled nursing facility bed sale
Represented a health system in its sale of a skilled nursing facility to the management firm of the nursing facility. Formulated potential structures, drafted and negotiated various agreements, and implemented each agreement’s operation. The sale involved a bed purchase agreement, Medicare change of ownership, certificate of need and comprehensive facility and operating lease, as well as several regulatory filings.
Affiliation of two children’s hospitals
Negotiated and prepared affiliation agreement between two children’s hospitals with respect to the joint operation and ownership of one of the locations. The affiliation included a complex conversion and purchase option in favor of one of the hospitals that allowed it to purchase the other hospital outright in the event that certain “triggers” occurred.
College/health system collaboration
Structured an arrangement between a large health system and a university for the health system to provide various health care and ancillary services to the college’s student and employee populations. Advised on real estate, corporate, health care and education law issues.
Financing and conversion of public hospital to nonprofit business
Assisted Adams County Regional Medical Center in its conversion from a county-owned hospital to a private health care provider. The transaction required obtaining bond financing for the acquisition and conversion of the hospital facilities, real property and assets, and resulted in the continuation of local care for Adams County residents.
Conversion of public hospital and affiliation with large health care system
Advised a government-owned hospital and worked with elected officials to convert a public hospital into a nonprofit business and large health care system affiliate. The transaction involved unique and negotiated features necessary to satisfy elected officials’ priorities, the community’s needs for local health care access, and the opportunities and efficiencies available through affiliation with a sophisticated tertiary care system.
Acquisition of rural hospital
Arranged and negotiated a health system’s acquisition of a minority interest in a rural hospital.
Acquisition transactions
Negotiated and closed dozens of physician employment and practice acquisition transactions on behalf of hospital clients.
Lead counsel to physician compensation committee
Currently serve as lead counsel to the physician compensation committee of a large health system that employs over 750 physicians.
Health system joint venture
Structured and negotiated a health system’s joint venture arrangement with a national, for-profit oncology services provider involving the health system’s entire oncology service line and employed medical and radiation oncologists
Affiliation arrangement
Arranged an affiliation between a large, hospital-owned physician group and the faculty practice plan of a state-owned college of medicine
Health system reorganization
Represented a large, multi-hospital health system in connection with a complete corporate reorganization of the system from a joint operating agreement model to a fully-horizontally integrated model
