  • Representation of a large Midwestern venture capital firm with a focus on the healthcare and technology sectors.
  • Represented an energy consulting firm with an international footprint through an auction process resulting in recapitalization providing the founder and early stage investors with liquidity, a private equity firm with a controlling interest and the management team with working capital and incentive compensation to accelerate growth of the business.
  • Represented a medical device manufacturing company in connection with early stage debt and equity financings by venture capital firms, corporate governance issues and later through an auction process resulting in recapitalization providing early stage investors with liquidity, a private equity firm with a controlling interest and the management team with working capital and incentive compensation to accelerate growth of the business.
  • Leads the firm’s Hart-Scott-Rodino team with primary responsibility for assisting clients with pre-merger application filings.
  • Represented a specialty distributor of clinical products through a sale process resulting in a recapitalization providing the founder and other shareholders with liquidity, a private equity firm with a controlling interest and the management team with working capital and incentive compensation to accelerate growth of the business.
  • Representation of companies in connection with a variety of matters including acquisitions and divestitures, capital raising, corporate governance, shareholder agreements, joint ventures, management incentive compensation plans and contract negotiation.
