Allison Lansell is a partner in Bricker Graydon Wyatt’s Cleveland office and a member of the firm’s Health Care Group. She focuses her practice on transactional and regulatory matters affecting long-term care providers and other health care organizations, helping clients navigate complex business transactions while addressing the regulatory considerations that shape the health care industry.
Allison has extensive experience advising long-term care providers on acquisitions and divestitures, traditional and HUD financing, leasing, distressed asset sales, and other sophisticated transactions. She also counsels clients on regulatory matters involving admissions and discharge, licensure, certification and enrollment, and vendor contracts. Allison regularly guides clients through significant corporate matters, including joint ventures, reorganizations, entity formation and dissolution, with an emphasis on structuring transactions to address potential regulatory implications from the outset.
Allison’s health care background began with experience in the legal affairs department of a major health system, where she analyzed federal and state regulatory requirements involving the Stark Law, Anti-Kickback Statute, HIPAA, and Medicare and Medicaid regulations. She also advised on the legal and regulatory implications of potential mergers and acquisitions and assisted with physician contracting matters. She previously worked at a highly respected health care firm in Cleveland that specializes in senior living providers. This combination of transactional, regulatory, and litigation experience allows Allison to provide health care clients with practical counsel that considers both their immediate legal needs and long-term business goals.

- Co-counsel on the sale of a long-term care provider to its newly created ESOP, including obtaining lender approval a HUD lender, a traditional lender, a bridge-to-HUD lender, and working capital lender.
- Assisted large multi-state nursing home owner and operator in corporate restructuring including regulatory approvals, and HUD and conventional lender consents.
- Represented Ohio and Pennsylvania long-term care provider in default under its current loan for urgent refinancing of its debt with a bridge-to-HUD loan.
- Representing borrower in HUD TPA financing of a 12-facility portfolio in Pennsylvania.
- Represented borrower in bridge-to-HUD loan for a Virginia skilled nursing facility.

Outside The Office
Allison will be the first to tell you she is not a “sit-still kind of person.” She keeps life full with her husband, Ben; their two-year-old, Myles; and their French bulldog, Romeo. When she is not chasing a toddler or a dog, she is often volunteering with Kappa Alpha Theta Fraternity in roles ranging from philanthropy advisor to Advisory Board Chairman to President, playing slow-pitch softball, or tracking down the best play-place-and-coffee-shop combo around Cleveland. After two weeks on maternity leave, she had finished her entire to-do list, called her boss, and asked whether she could come back remotely to keep herself busy. She will tell you it was the best of both worlds.
She loves building community, whether that means checking in with friends over coffee or by text, planning her street’s annual all-day block party, or serving as room parent for Myles’ class. Just do not try to put Allison in a box. Her interests have taken her from theater kid to gospel choir, FIRST Robotics to varsity softball, sorority Vice President to editor on not one but two law journals, including serving as managing editor for one. One thing is clear: Allison likes trying new things, learning as she goes, and finding ways to keep growing—an approach that serves her just as well at work as it does in the rest of her life.
“It can be hard to do something new. It can feel scary, even when it also feels right. Diving in—sometimes with a vision and a plan, and sometimes figuring it out as you go—is often the hardest part. I love guiding clients through those moments they never expected, or through a first transaction, while remembering that it can feel deeply personal even when it is also a business decision. When my mom sold her veterinary practice, I saw how much time it can take to let go of something she had built her life around. I carry that experience with me as I help clients find the right path forward.”
